Welcome to Franchise Solutions LLC, dba The FS Agency (“we,” “our,” or “us”). By accessing or using our website, software, tools, or services (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to these Terms & Conditions. Please read them carefully before engaging with us.

1. Scope of Services

FS Agency provides marketing, SEO, AI-powered optimization, Google Business Profile (GBP), and operations support services, including but not limited to our FS Answer AI-SEO solution.

Our Services are designed to enhance visibility and performance across digital and AI-search platforms. However, due to the dynamic nature of online algorithms and artificial-intelligence ranking systems, results may vary and are not guaranteed.

2. Client Responsibilities

You are solely responsible for:

  • The ownership, accuracy, and ongoing management of your website, domain, and Google Business Profile (GBP).
  • Reviewing and approving all content or recommendations before implementation.
  • Maintaining compliance with platform policies, including Google, OpenAI, Anthropic, Meta, and any other third-party services we interact with on your behalf.

Failure to maintain your own website or GBP in accordance with best practices can affect visibility or ranking performance.

3. AI-SEO and Algorithm Disclaimer

Search engines, AI-assistants, and digital platforms (including but not limited to Google Search, Google Maps, ChatGPT, Gemini, Claude, Perplexity, and any similar platform currently in existence or in the future) use constantly evolving algorithms to generate results.

While FS Agency uses proven strategies and technologies to optimize your visibility in both traditional search and AI-driven answers, you acknowledge and agree that:

  • We cannot guarantee placement or ranking within any search engine or AI assistant.
  • Algorithm updates, competitor behavior, seasonal search volume, and other third-party changes can directly impact performance.
  • FS Agency is not responsible for any decrease in traffic, leads, rankings, or visibility resulting from these factors.

Optimization within AI-search environments is an emerging field; all results should be viewed as experimental and subject to rapid change.

4. Limitation of Liability

To the fullest extent permitted by law:

  • FS Agency, its owners, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use our Services.
  • This includes, but is not limited to, loss of revenue, website traffic, digital visibility, or reputation resulting from changes in algorithmic behavior or third-party policies.
  • Your sole and exclusive remedy for dissatisfaction with our Services is to discontinue use.

5. Payments and Subscriptions

All Services, including one-time projects and recurring subscriptions (such as FS Answer or Scout GBP Optimization), are billed according to your proposal, checkout page, or agreement.

Recurring subscriptions continue until canceled by the Client via the customer portal or written notice.
All fees are non-refundable once Services have commenced, as we allocate resources immediately upon engagement.

6. Intellectual Property

Unless otherwise agreed in writing, all tools, code, frameworks, analytics, or proprietary systems (including FS Answer) remain the sole property of FS Agency.

Upon full payment, you are granted a non-exclusive license to use deliverables (reports, posts, listings, etc.) for your own business marketing purposes. You may not resell, duplicate, or redistribute our proprietary technology, prompts, or data structures.

7. Termination

Either party may terminate Services with written notice, subject to cancellation terms outlined in your proposal or agreement.

Outstanding balances remain due upon termination.

8. Dispute Resolution

Any disputes shall first be resolved in good faith through communication between the parties.
If unresolved, disputes shall be governed by the laws of the State of Wyoming, and venue shall be proper in Sheridan, Wyoming.

9. Disclaimer of Warranties

All Services are provided “as is” and “as available.”
 FS Agency disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that any optimization, campaign, or AI-SEO strategy will produce specific results or rankings.
